ADSX Common Stock means the common stock of ADSX, par value $.01 per share.

  • ADSX shall cause its transfer agent to issue and deliver the number of shares of ADSX Common Stock (the “Restricted Shares”) that have a value, based on the ADSX Average Trading Price (as defined below) ending on the last trading day preceding the date of issuance.

  • ADSX shall use its reasonable best efforts to register and qualify the sale of the ADSX Common Stock covered by the Registration Statement, if not exempt, under such other securities or Blue Sky laws of such jurisdictions as shall be reasonably requested by the Holders, provided, that ADSX shall not be required in connection therein or as a condition thereto to qualify to do business or to file a general consent to service of process in any such states or jurisdictions.

  • The ADSX Common Stock will comprise at least that portion of the aggregate Merger Consideration that is necessary to satisfy the continuity-of-interest requirement under Treas.

  • The purchase price for the DOC Shares shall be U.S. $1,000,000 ("Purchase Price"), payable by the Company on the Closing Date (as defined hereunder) by delivery, in the aggregate, of that number of shares of ADSX Common Stock (the "ADSX Exchange Shares") equal to the Purchase Price divided by the ADSX Per Share Exchange Price (as defined hereunder).

  • Except as set forth on Schedule 6.7, ADSX is in compliance with all of the presently applicable requirements for continued listing of the ADSX Common Stock on the Nasdaq Capital Market.
