In the event a dispute arises between the parties as to whether or not Proxima is conducting Aggressive Marketing, and such dispute can not be resolved by the Steering Committee pursuant to Section 2.3.1 above, the parties agree to proceed to dispute resolution in accordance with Section 15.1 below.
