On each Payment Date prior to an Acquisition Date with respect to a Remaining Aircraft, the Cash Manager shall pay or shall direct the Operating Bank to pay to the relevant Seller an amount equal to the Rent Payment Reimbursement Amount for such Remaining Aircraft for the Rent Transfer Period ending immediately preceding such Payment Date, such payment to be made from the Investment Earnings in the Aircraft Purchase Account for such Remaining Aircraft accrued during such Rent Transfer Period.
As and to the extent provided in Section 3.04 hereof, an amount equal to the Aircraft Allocation Amount for each Remaining Aircraft acquired on the relevant Acquisition Date will be transferred from the Collections Account out of the proceeds of the ACS Group Loans and the Class E Securities to the Aircraft Purchase Account for such ACS Group Aircraft.
The Cash Manager shall establish and maintain the Aircraft Purchase Account in accordance with Section 3.01(h) of the Indenture.

The Security Trustee shall have sole dominion and control over the Aircraft Purchase Account and all investments made through and/or maintained in the Aircraft Purchase Account, including authority to direct withdrawals from or transfers among the Aircraft Purchase Account and each other Account.
The Issuer shall give Written Notice to the Security Trustee and the Cash Manager of the satisfaction or waiver (specifying which) of all conditions for the payment of the Aircraft Purchase Price of any Additional Aircraft, and no amounts may be withdrawn or transferred from the Aircraft Purchase Account with respect to the Aircraft Purchase Price of such Additional Aircraft until receipt of such notice as to such Additional Aircraft.
Any amounts so deposited in an Aircraft Purchase Account will be held in that Account and invested in Permitted Account Investments until applied as provided in Section 3.06.
Immediately upon the occurrence of a Non-Delivery Event, the Issuer shall deliver a certificate to the Trustee executed by an officer of the Issuer (a) stating that a Non-Delivery Event has occurred, (b) specifying the New Remaining Aircraft with respect to which such Non-Delivery Event has occurred and (c) specifying the amount of funds from the Aircraft Purchase Account allocable to the purchase price of such Remaining New Aircraft, as determined in accordance with the New Share Purchase Agreement.
