  • If Alexza Common Stock is not traded on a national exchange or the NASDAQ Global Market, then Alexza shall be obligated to pay the Purchase Price solely in cash on the Purchase Option Closing Date.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.
