  • At the Effective Time, in consideration of Wesana issuing Wesana Shares to the holders of PsyTech Shares as provided for in Subsection 4(a)(ii), Wesana shall receive and Amalco shall issue to Wesana one fully paid and non-assessable Amalco Share for each Wesana Share issued to the holders of PsyTech Shares.

  • Each Amalco Share will be issued at a deemed price of $1.50 per share.

  • However, if a Dissenting Lancaster Shareholder withdraws or is deemed to have withdrawn the exercise of its Dissent Rights or otherwise failed to comply with the requirements of the BCBCA or if such Dissenting Lancaster Shareholder’s rights as a Lancaster Shareholder are otherwise reinstated, each Dissenting Lancaster Share held by that Dissenting Lancaster Shareholder will thereupon be deemed to have been exchanged for one (1) Amalco Share at the Effective Time in accordance with Section 15(b).
