Amortization Reserve definition

Amortization Reserve means any Reserve established or modified by the Administrative Agent in its Permitted Discretion in accordance with the provisions of Section 2.22 in the event that any Junior Debt instrument has an amortization schedule that requires annual principal payments exceeding 5.0% of the total principal amount of such Junior Debt (the “Amort Cap”) prior to the date that is 91 days after the Maturity Date, (it being understood that such Reserve shall be established with respect to amortization payments in excess of the Amort Cap against the assets included in the Borrowing Base on the date that is 91 days prior to each scheduled date of such Junior Debt amortization payments).
Amortization Reserve means, at any time, with respect to Indebtedness expressly referencing the imposition of an Amortization Reserve under Section 7.02, a reserve for any amortization payment required to be made in respect of such Indebtedness within 91 days of such time in an amount equal to the amount of such amortization payment (or such lesser amount as Administrative Agent may determine in its Permitted Discretion).
Amortization Reserve means, on any date, a Reserve equal to the excess, if any, of (a) the aggregate amount of all payments of principal in respect of Permitted First-Lien Indebtedness and Permitted Second-Lien Indebtedness scheduled to be paid within 90 days after such date over (b) $20,000,000.

Related to Amortization Reserve

  • Amortization rate means the amortization rate, as defined in Section 49-11-102, to be applied to the system that would have covered the retiree if the retiree's reemployed position were deemed to be an eligible, full-time position within that system.

  • Amortization Amount means, with respect to any Principal Amount Repayment Date, the amount set forth opposite such Date on the Amortization Schedule.

  • Depreciation and Amortization means the depreciation and amortization accruing during any period of determination with respect to a Person, as determined in accordance with GAAP.
