Applicable Schedule 3.06 Consent definition

Applicable Schedule 3.06 Consent means any Consent set forth on Disclosure Schedule 3.06 relating to an Applicable Contract for which the counterparty’s consent to assignment would be required for such Applicable Contract to be assumed and assigned to Buyer, after giving effect to sections 365(c)(1) and 365(f)(1) of the Bankruptcy Code.
Applicable Schedule 3.06 Consent means any Consent set forth on Disclosure Schedule 3.06

Related to Applicable Schedule 3.06 Consent

  • Material Consents as defined in Section 7.3.

  • Disclosure Letter means the disclosure letter dated the date of this Agreement and delivered by the Vendor to the Purchaser with this Agreement.

  • Required Consents shall have the meaning set forth in Section 4.5.

  • Disclosure Schedules means the Disclosure Schedules of the Company delivered concurrently herewith.

  • Schedule E means internal revenue service schedule E (form 1040) filed by a taxpayer pursuant to the Internal Revenue Code.

  • Disclosure Schedule has the meaning set forth in Section 3 below.

  • Specified Acquisition Agreement Representations means the representations and warranties made by, or with respect to, the Target and its subsidiaries in the Acquisition Agreement that are material to the interests of the Lenders, but only to the extent that the Borrower (or its applicable affiliate) has the right (taking into account applicable cure provisions) to terminate its obligations under the Acquisition Agreement or to decline to consummate the Acquisition (in each case, in accordance with the terms thereof) as a result of a breach of any such representations and warranties.

  • Schedule F means internal revenue service schedule F (form 1040) filed by a taxpayer pursuant to the Internal Revenue Code.

  • Company Disclosure Schedule means the disclosure schedule delivered by the Company to and accepted by Parent and Merger Sub on the date hereof.

  • Material Contracts has the meaning set forth in Section 3.09(a).

  • Disclosed Matters means the actions, suits and proceedings and the environmental matters disclosed in Schedule 3.06.

  • Disclosure Statement Approval Order means the Final Order approving, among other things, the adequacy of the Disclosure Statement pursuant to section 1125 of the Bankruptcy Code.

  • Reference Schedule means the reference schedule in Part A of this Invitation

  • Progress Schedule means a schedule of the Work, in a form satisfactory to Owner, as further set forth in Section 3.02.
