Approved Counsel means (a) at any time Tenant is a Controlled Subsidiary of CEC and Manager is a wholly owned subsidiary of CEC, any counsel selected by Manager, (b) any counsel either mutually agreed upon by Tenant and Manager or (c) counsel set forth on a list of “Approved Counsel” containing counsel by practice specialty that are mutually agreeable to Tenant and Manager, as such list may be updated by Tenant and Manager from time to time.

Approved Counsel means (a) any counsel either mutually agreed upon by Owner and Manager or (b) counsel set forth on a list of “Approved Counsel” containing counsel by practice specialty that are mutually agreeable to Owner and Manager, as such list may be updated by the Parties from time to time.

A transaction otherwise permitted under clause (ii), (iii) or (iv) of Section 8.2(a) shall not be deemed to be an Approved Extraordinary Transaction."

Approved Counsel means (i) Lionel Sawyer & Collins, (ii) Snell & Wilmer, L.L.P., (iii) Brownstein Hyatt Farber Schreck, and (iv) any other attorney duly licensed in the State of Nevada that has been Approved by the Board of Directors or by all Members in writing.

Approved Counsel shall have the meaning set forth in Section 11.3.3(a) hereof.
