Approved Counsel definition

Approved Counsel means (a) at any time Tenant is a Controlled Subsidiary of CEC and Manager is a wholly owned subsidiary of CEC, any counsel selected by Manager, (b) any counsel either mutually agreed upon by Tenant and Manager or (c) counsel set forth on a list of “Approved Counsel” containing counsel by practice specialty that are mutually agreeable to Tenant and Manager, as such list may be updated by Tenant and Manager from time to time.

Approved Counsel means (i) Xxxxxx Xxxxxx & Xxxxxxx, (ii) Xxxxx & Xxxxxx, L.L.P., (iii) Xxxxxxxxxx Hyatt Xxxxxx Xxxxxxx, and (iv) any other attorney duly licensed in the State of Nevada that has been Approved by the Board of Directors or by all Members in writing.

Approved Counsel means (a) any counsel either mutually agreed upon by Owner and Manager or (b) counsel set forth on a list of “Approved Counsel” containing counsel by practice specialty that are mutually agreeable to Owner and Manager, as such list may be updated by the Parties from time to time.

Examples of Approved Counsel in a sentence

• The opinion of Xxxxxxxx Xxxxxx & Finger, or, subsequent to the Initial Settlement Date, Company Approved Counsel, to the effect set forth in Exhibit L hereto.

• The negative assurance of Debevoise & Xxxxxxxx or Company Approved Counsel, as counsel for the Company, to the effect set forth in Exhibit N hereto.

• The Company will furnish to the Agent(s) and Agent Approved Counsel, without charge, one conformed copy of the Registration Statement as originally filed and of each amendment thereto (including exhibits filed therewith or incorporated by reference therein and documents incorporated or deemed to be incorporated by reference therein) and copies of all consents and certificates of experts.

• The Approved Counsel may consult with counsel admitted to the bar in the state of Delaware in connection with all matters arising hereunder.

• The Company agrees to pay the reasonable fees of the Approved Counsel referred to above and to fully indemnify such counsel against any and all expenses (including attorneys' fees), claims, liabilities, and damages arising out of or relating to this Agreement or its engagement pursuant hereto.

Approved Counsel is defined in Section 8.8.2(c).

Approved Counsel means (i) Lionel Sawyer & Collins, (ii) Snell & Wilmer, L.L.P., (iii) Brownstein Hyatt Farber Schreck, and (iv) any other attorney duly licensed in the State of Nevada that has been Approved by the Board of Directors or by all Members in writing.

Approved Counsel shall have the meaning set forth in Section 11.3.3(a) hereof.

Approved Counsel means (i) Xxxxxxxx & Xxxxxxxx, (ii) Xxxxxxxx Xxxxxxxxx Xxxxxx Xxxxxxxx & Xxxxxx LLP, (iii) Arent Fox Xxxxxxx Xxxxxxx & Xxxx, (iv) Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx and (v) any other law firm in the States where the Properties are located that has previously been engaged by the Company and/or its Subsidiaries or that is approved by WCPT."

Approved Counsel is defined in Section 10.4.4.

Approved Counsel means Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, Xxxxxxxxx & Xxxxxx or such other law firm upon which the Members mutually agree and subsequently select for the purpose of providing legal counsel to the Company.

Approved Counsel means (i) Sullivan & Cromwell, (ii) Robinson Xxxxxrmax Xxxxxx Aronsoxx & Xxxman LLP, (xxx) Xxxxt Xxx Xixxxxx Xxotkxx & Kahn, (iv) Frixx, Xxxnx, Xxxxis, Shriver & Xxcobson and (v) any other law xxxx xx xhe States where the Properties are located that has previously been engaged by the Company and/or its Subsidiaries or that is approved by WCPT." "'Approved Extraordinary Transaction' shall mean any (A) merger, consolidation or similar business combination or (B) sale of all or substantially all of the Properties in a single transaction. A transaction otherwise permitted under clause (ii), (iii) or (iv) of Section 8.2(a) shall not be deemed to be an Approved Extraordinary Transaction."
