ATM Offering definition

ATM Offering means any continuous at-the-market offering by the Company or any of its Subsidiaries of Common Stock in accordance with Rule 415 under the Securities Act.
ATM Offering means an at-the-market offering of Securities or other similar offering of Securities.

ATM Offering means an at-the-market offering of Securities or other similar offering of Securities. Notwithstanding the foregoing, Magellan shall not be obligated to take any actions hereunder that, based upon the advice of counsel, would violate or otherwise conflict with any applicable law, regulation or any securities exchange requirement. Magellan shall use commercially reasonable efforts to address any legal obstacle to taking any actions contemplated hereunder as soon as reasonably practicable. In the event the approval of Magellan’s stockholders is required to effect or otherwise consummate the terms as contemplated hereunder, Magellan agrees to take all commercially reasonable actions within its control (including calling Board and stockholder meetings) to obtain any such stockholder approval.
