Average Daily Tariff definition

Average Daily Tariff means the amount arrived at by dividing the total Tariff collected in the immediately preceding Accounting Year by 365 (three hundred and sixty-five), and increasing the quotient thereof by 5%; providedthat the Average Daily Tariff for any period prior to completion of the first Accounting Yearfollowing CODshall be a simpleaverage of the Tariffcollectedeveryday during the period between COD and the last day of the month preceding the date on which the eventrequiringcalculationhereofoccurred, and in the event that the Tariff payable by any segment of cargohas not been realised for any reason, an assessment thereof shall be made by the IndependentEngineer to form part of the Average Daily Tariff for such period.

If the Weighted Average Price cannot be calculated for a security on a particular date on any of the foregoing bases, the Weighted Average Price of such security on such date shall be the fair market value as mutually determined by the Company and the Holder. If the Company and the Holder are unable to agree upon the fair market value of such security, then such dispute shall be resolved pursuant to Section 12 with the term “Weighted Average Price” being substituted for the term “Exercise Price.” All such determinations shall be appropriately adjusted for any stock dividend, stock split, stock combination, reclassification or other similar transaction during the applicable calculation period.
