Average Share Price definition

Average Share Price means the average of the closing price per share of Class A Common Stock on the New York Stock Exchange on the Friday (or if Friday is not a trading day, the last trading day before such Friday) for each week of the calendar quarter ending on the Quarter Date.

Average Share Price means the average of the closing prices of a Share or a share or other equity unit of each other relevant company on each trading day in the 20-trading day period ending on and including the applicable date of determination. Dividends per share paid other than in the form of cash shall have a value equal to the amount of the dividends that the Company or other relevant company reports to its shareholders or equity holders for purposes of U.S. federal income taxation.

Average Share Price means, as of any specified date, the average of the Daily Share Prices for the five consecutive trading days ending on, and including, the trading day immediately prior to the specified date.

• For purposes of determining the TSR used in the Performance Metric, the "Average Share Price" means the average daily closing price of the shares on the NASDAQ Global Select Market (or if the company is not listed on the NASDAQ Global Select Market, then on the principal securities exchange on which such shares are tracked) as published by a reputable source over the relevant measuring period.

• Notwithstanding the foregoing, in the event of a dispute as to the determination of the Closing Bid Price or the arithmetic calculation of the Redemption Price, such dispute shall be resolved pursuant to Section 5(b)(iii) above with the term "Closing Bid Price" being substituted for the term "Average Share Price" and the term "Redemption Price" being substituted for the term "Conversion Price".

More Definitions of Average Share Price

Average Share Price for any period shall mean the average closing price on the Applicable Securities Exchange of one Class A Share for each of the trading days that occur during such period.

Average Share Price has the meaning set forth in Section 3.01(b)(2)(ii).
