Award Units means Book Value Units which are issued pursuant to, and with such restrictions as are imposed by, the terms of this Plan.

• The Company shall have the right to require, prior to the issuance or delivery of any shares of Common Stock upon the vesting of the Award Units, payment by the Holder of such Award of any federal, state, local or other taxes which may be required to be withheld or paid in connection with such Award (the “Required Tax Payments”).

• If the Committee certifies the vesting of a number of Units that is less than the Maximum Award Units, then with respect to all other Units that could have been earned under this Agreement, the Award will terminate and be forfeited automatically.

Award Units means, in respect of an Entitled Executive, the units allocated pursuant to Section 4 (Allocation of Award Units).
