B Ordinary Share definition

B Ordinary Share means a B ordinary Share of no par value in the share capital of the Company;
B Ordinary Share means a B ordinary share in the capital of the Company and which is not listed for trading on a Relevant Stock Exchange and the term 'B Ordinary Share' shall include, where the context so requires, to mean any share of a B Sub- Class.
B Ordinary Share means B ordinary shares of the Company, par value £0.30 per share. “beneficial ownership” and “beneficially own” and similar terms have the meaning set forth in Rule 13d-3 under the Exchange Act; provided, however, that no Investor shall be deemed to beneficially own any securities of the Company held by any other Investor solely by virtue of the provisions of this Agreement (other than this definition which shall be deemed to be read for this purpose without the proviso hereto); provided, further, that whenever a reference to any Person’s or Persons’ beneficial ownership of Shares is accompanied by the phrase “(giving effect to the CVRs),” then the number of Shares beneficially owned by such Person or Persons shall be deemed to include the A Ordinary Shares that would be issuable pursuant to CVRs held by such Person or Persons as of the applicable time of determination under the terms of the applicable CVR Agreement.
