Backup Compound definition

Backup Compound shall have the meaning set forth in Section 6.10.2.
Backup Compound means any * compounds other than RP5264 as provided in Annexure VI Controlled by Rhizen as of the Effective Date and/or developed during the Term, which (i) falls within the chemical genus provided in Exhibit B of the JV Agreement, and (ii) has targeted * (≤ *) in an * against the * target and targeted specificity of * compared to the *. The initial list of the Backup Compounds is attached hereto as Annexure VI and shall be updated from time to time by Rhizen and provided to TGTX promptly. The list of the Backup Compounds thus updated shall include any compound which falls in the above definition which are discovered or developed by Rhizen during the first two years of the Term.
Backup Compound means (a) [*] (having the chemical structure set forth in Exhibit D-1), or (b) any other inhibitor of BTK disclosed or claimed in International Patent Publication [*].
