Bank Cards definition

Bank Cards means a credit card, charge card, debit card, stored value card or similar instrument that is issued by a licensee of a Bank Card Association.

"Material Adverse Change" or "Material Adverse Effect" means, when used with respect to the Company or Parent, as the case may be, any change or effect that is or would reasonably be expected (as far as can be foreseen at the time) to be materially adverse to the business, results of operations, or condition (financial or otherwise), of the Company and its Subsidiaries, taken as a whole, or Parent and its Subsidiaries, taken as a whole; provided, however, that the effects of changes that are generally applicable to the industries in which the Company operates or to the United States economy generally, or which result from the announcement of the transactions contemplated by this Agreement, shall be excluded from such determination. "Other Cards" shall include Discover, JCB, American Express, Diners Club, Carte Blanche and any other Card or similar instrument which may be issued by a debit card network or any other Card Association (or licensee thereof) other than Mastercard or Visa. "Subsidiary" means any corporation, partnership, limited liability company, joint venture or other legal entity of which Parent, Bank One or the Company, as the case may be (either alone or through or together with any other such Subsidiary), owns, directly or indirectly, 50% or more of the stock or other equity interests the holders of which are generally entitled to vote for the election of the board of directors or other governing body of such corporation, partnership, limited liability company, joint venture or other legal entity.
