Bank Leverage Ratio definition

Bank Leverage Ratio means, on any date, the ratio of (a) Total Debt as of such date to (b) Consolidated EBITDA for the period of four consecutive fiscal quarters ended on such date, all determined on a consolidated basis in accordance with GAAP.
Bank Leverage Ratio means, on any date, the ratio of (a) Consolidated Net Bank Debt as of such date to (b) EBITDA for the period of four consecutive fiscal quarters of Holdings most recently ended as of such date, all determined on a consolidated basis in accordance with US GAAP, provided that to the extent any Asset Disposition or any Asset Acquisition (or any similar transaction or transactions that require a waiver or a consent by the Required Lenders pursuant to Section 6.04 or 6.05) or incurrence or repayment of Indebtedness (excluding normal fluctuations in revolving Indebtedness incurred for working capital purposes) has occurred during the relevant Test Period, EBITDA shall be determined for the respective Test Period on a Pro Forma Basis for such occurrences.
Bank Leverage Ratio means, on any date, the ratio of (a) Consolidated Net Bank Debt as of such date to (b) CA EBITDA for the period of four consecutive fiscal quarters of Holdings most recently ended as of such date, all determined on a consolidated basis in accordance with US GAAP, provided that to the extent any Asset Disposition or any Asset Acquisition (or any Similar Transaction) or incurrence or repayment of Indebtedness (excluding normal fluctuations in revolving Indebtedness incurred for working capital purposes) has occurred during the relevant Test Period, CA EBITDA shall be determined for the respective Test Period on a Pro Forma Basis for such occurrences.

Examples of Bank Leverage Ratio in a sentence

  • Permit the Senior Secured Bank Leverage Ratio on the last day of any fiscal quarter to be in excess of 4.25 to 1.00.

  • With respect to the Revolving Facility only, permit the Total Senior Secured Bank Leverage Ratio on the last day of any fiscal quarter when the Revolving Facility Credit Exposure outstanding exceeds $0 as of such day, to exceed 5.00 to 1.0.

  • Permit the Bank Leverage Ratio on the last day of any fiscal quarter ending after the Closing Date to be in excess of 3.50:1.00.

  • Notwithstanding the foregoing, the Borrowers may retain Net Proceeds pursuant to clause (b) of the definition thereof if the Total Senior Secured Bank Leverage Ratio on a Pro Forma Basis after giving effect to the relevant incurrence of Indebtedness would be less than or equal to 2.25 to 1.00.

  • Notwithstanding anything to the contrary contained in the preceding sentence or elsewhere in this Agreement, (i) all calculations of compliance with this Section 9.10 shall be made on a Pro Forma Basis and (ii) in no event shall the Adjusted Bank Leverage Ratio be greater than the Maximum Permitted Acquisition Bank Leverage Ratio upon the consummation of, and after giving effect on a Pro Forma Basis to, any Permitted Acquisition.".

  • With respect to the Revolving Facility only, permit the Total Senior Secured Bank Leverage Ratio on the last day of any fiscal quarter (beginning with the fiscal quarter ending December 31, 2006) to exceed 4.25 to 1.00.

  • Permit the Senior Secured Bank Leverage Ratio to be in excess of 3.75 to 1.00.

  • With respect to the Revolving Facility only, permit the Total Senior Secured Bank Leverage Ratio on the last day of any fiscal quarter to exceed 4.25 to 1.00.

  • RPP USA will not permit the Adjusted Bank Leverage Ratio to be greater than (x) 2.25:1:00 on the last day of any fiscal quarter of RPP USA ending on or prior to December 31, 2005 and (y) 2.00:1.00 on the last day of any fiscal quarter of RPP USA ending thereafter.

  • Permit the Bank Leverage Ratio on the last day of any fiscal quarter ending after the Closing Date to be in excess of 3.00:1.00.
