Base Bonus definition

Base Bonus means the Performance Shares payable to the Employee in respect of Fiscal Year 2014 upon the achievement of the Base Bonus Target as set forth in the individual Award Certificate issued by the Committee to the Employee.

Examples of Base Bonus in a sentence

  • The Committee, in its sole and absolute discretion, shall determine when, whether, and if so, the extent to which, the Base Bonus Target, Target Bonus Target or Stretch Bonus Target, as applicable, has been achieved.

  • Employee will not receive Base Bonus compensation for any portion of the calendar year(s) during the Term while Employee receives compensation and benefits under the Long Term and Individual Disability Insurance program.

  • For the periods that Employee received compensation and benefits under the Salary Continuation and Individual Disability Insurance programs, such compensation and benefits and the Base Bonus compensation provided under this Section 7 are in lieu of Salary and Base Bonus under Sections 3(a) and (b).

  • If Executive fails to achieve the EBITDAR-based targets for one or more fiscal quarters in a Fiscal Year, he shall be eligible to earn the missed quarterly Base Bonus payment on account of achieving additional targets in later quarters of the same Fiscal Year or targets in respect of the entire Fiscal Year, in each case as established by the Committee in its sole discretion following consultation with senior management.

  • The Committee, in its sole and absolute discretion, shall determine whether the Base Bonus Target has been achieved.

  • The Employee shall have no vested right in the Restricted Stock Units for any Fiscal Year unless the Committee certifies that the Base Bonus Target has been achieved for such Fiscal Year.

  • If Executive’s employment is terminated pursuant to Sections 1, 4(A), 4(B), 4(C), 4(E)(1) or 4(E)(4) hereof, on and after the Date of Termination Employer shall no longer be obligated to pay Executive any amounts payable hereunder for such period, whether in the form of Base Salary, Base Bonus or otherwise, and Executive shall have no right to compensation or other benefits hereunder for any such period.

  • If the Base Bonus Target, but neither the Target Bonus Target nor the Stretch Bonus Target, is achieved, the number of Performance Shares payable to the Employee hereunder shall be the Base Bonus.

  • The Base Bonus means an amount equal to the product of 0.75 multiplied by the Annual Base Salary and Accelerated Bonus means an additional amount as determined by the Chief Executive Officer.

  • In addition to Employee’s Salary and Base Bonus, Employee will be eligible to receive Employee’s current deferred attainment bonus (“Current Deferred Bonus”), in accordance with the ECBP.


More Definitions of Base Bonus

Base Bonus means the Performance Shares payable to the Employee in respect of Fiscal Year 2013 upon the achievement of the Base Bonus Target as set forth in the individual Award Certificate issued by the Committee to the Employee.

Related to Base Bonus

  • Cash Bonus means an award of a bonus payable in cash pursuant to Section 10 hereof.

  • Annual Bonus shall have the meaning set forth in Section 4(b) hereof.

  • Accrued Bonus means the bonus, which may be negative or positive, which is calculated in the manner set forth in Section V.A.

  • Performance Bonus means the performance bonus in respect of each Class payable to the General Partner by the Partnership which will be equal to 20% of the product of: (a) the number of Units of that Class outstanding on the Performance Bonus Date; and (b) the amount by which the Net Asset Value per Unit of that Class on the Performance Bonus Date (prior to giving effect to the Performance Bonus) plus the aggregate value of any distributions per Unit of that Class during the Performance Bonus Term exceeds $28.00.

  • Incentive Bonus means a bonus opportunity awarded under Section 9 pursuant to which a Participant may become entitled to receive an amount based on satisfaction of such performance criteria as are specified in the Award Agreement.
