Base Bonus definition

Base Bonus means the Performance Shares payable to the Employee in respect of Fiscal Year 2014 upon the achievement of the Base Bonus Target as set forth in the individual Award Certificate issued by the Committee to the Employee.
Base Bonus means the Performance-Based Cash Award payable to the Employee in respect of Fiscal Year 2016 upon the achievement of the Base Bonus Target as set forth in the individual Award Certificate issued by the Company to the Employee.
Base Bonus means the greater of: (1) the Annual Bonus that Executive received attributable to performance during the full calendar year immediately prior to the date of Executive’s termination of employment with Employer (or, if the calendar year immediately prior to the date of Executive’s termination of employment with Employer was a partial calendar year, the annualized Annual Bonus for such partial calendar year); or (2) Executive’s target Annual Bonus for the calendar year in which the date of termination of Executive’s employment occurred. Subject to Section 4.02(F) below, the Prorata Bonus shall be payable in a lump sum on the next regular paydate following the date that the Release (as defined in Section 4.02(E) below) becomes effective and is no longer subject to revocation.

Examples of Base Bonus in a sentence

  • The Base Bonus will be prorated based on the number of months employed in the eligible position.

More Definitions of Base Bonus

Base Bonus means the number of Restricted Stock Units to which the Employee shall be entitled in respect of Fiscal Year 2016 upon the achievement of the Base Bonus Target as set forth in the individual Award Certificate issued by the Company to the Employee.

Base Bonus means the higher of (x) the annual bonus paid or payable, including any bonus or portion thereof that has been earned but deferred to the participant with respect to fiscal year 2002 and (y) the participant’s target bonus for fiscal year 2003. “Base bonus” shall include the cash value of restricted shares, valued as of the date of grant without any discount for restrictions, to the extent such shares were considered part of the participant’s annual incentive bonus.
Base Bonus means (i) $37,500 for each Bonus Period through the Bonus Period ending December 31, 2000; and (ii) $9,375 for the Bonus Period ending March 31, 2001.

Related to Base Bonus

  • Cash Bonus means an award of a bonus payable in cash pursuant to Section 10 hereof.

  • Annual Bonus shall have the meaning set forth in Section 4(b) hereof.

  • Accrued Bonus means the bonus, which may be negative or positive, which is calculated in the manner set forth in Section V.A.

  • Performance Bonus means the performance bonus in respect of each Class payable to the General Partner by the Partnership which will be equal to 20% of the product of: (a) the number of Units of that Class outstanding on the Performance Bonus Date; and (b) the amount by which the Net Asset Value per Unit of that Class on the Performance Bonus Date (prior to giving effect to the Performance Bonus) plus the aggregate value of all distributions per Unit of that Class during the Performance Bonus Term exceeds $25.00.

  • Incentive Bonus means a bonus opportunity awarded under Section 9 pursuant to which a Participant may become entitled to receive an amount based on satisfaction of such performance criteria as are specified in the Award Agreement.

  • Target Bonus means Executive’s annual (or annualized, as applicable) target bonus in effect immediately prior to Executive’s Qualifying Termination or, if Executive’s Qualifying Termination occurs during the Change in Control Period and the amount is greater, Executive’s annual (or annualized, if applicable) target bonus in effect immediately prior to the Change in Control.

  • Base Compensation means the amount equal to the sum of (i) the greater of Executive’s then-current Annual Base Salary or Executive’s Annual Base Salary as of the date one day prior to the Change in Control, and (ii) the Average Incentive Bonus.

  • Target Bonus Amount means Executive’s target annual bonus amount in effect at the time of Executive’s Qualifying Termination (disregarding any decrease in such target annual bonus amount that constitutes a Good Reason event).

  • Earned Bonus means the bonus paid, if any, pursuant to the Company’s incentive compensation plans in effect from time to time. Earned Bonus shall be prorated based on the ratio of the number of days during such year that Executive was employed to 365.

  • Average Bonus means the average of the bonuses paid to Employee over the last two years (or such lesser number of years in which Employee was eligible to receive a bonus) in which the Employee was eligible to receive a bonus.

  • Base Salary shall have the meaning set forth in Section 3(a) hereof.

  • Bonus means the bonus described in the Section 2.3.

  • Bonus Compensation shall have the meaning set forth in Section 3(b).

  • Annual Compensation means an amount equal to the greater of:

  • Bonus Amount means the greater of (i) the average annual incentive bonus earned by Executive from the Company (or its affiliates) during the last three (3) completed fiscal years of the Company immediately preceding Executive’s Date of Termination (annualized in the event Executive was not employed by the Company (or its affiliates) for the whole of any such fiscal year), and (ii) the Executive’s target annual incentive bonus for the year in which the Date of Termination occurs.

  • Annual Cash Compensation means the sum of (a) the highest annual Base Salary in effect for the Executive and (b) the greater of (i) the Executive’s bonus for the most recently-completed year (excluding any special bonuses awarded for performance after the conclusion of the performance period), if any, or (ii) the annualized amount of the Executive’s target bonus for the then current year.

  • Annual Salary means the salary given under this Part.

  • Incentive Payment means the payment to a STGU, including an AOBC Generation Unit, for RPS class I Renewable Generation Attributes and/or Environmental Attributes produced by these units, calculated pursuant to Section 7.0 below.

  • Retention Bonus means the amount equal to:

  • Density bonus means a floor area ratio bonus over the otherwise maximum allowable density permitted under the applicable zoning ordinance and land use elements of the general plan of a city, including a charter city, city and county, or county of:

  • Base Salary Amount means the greater of the Executive’s annual base salary (a) at the rate in effect on the Termination Date and (b) at the highest rate in effect at any time during the 180-day period prior to a Change in Control, and will include all amounts of the Executive’s base salary that are deferred under any qualified or non-qualified employee benefit plan of the Company or any other agreement or arrangement.

  • Incentive Pay means an annual amount equal to the aggregate annual bonus, in addition to Base Pay, made or to be made in regard to services rendered in any calendar year or performance period pursuant to any bonus plan of the Company.

  • Annual Incentive Award means an Award made subject to attainment of performance goals (as described in Section 14) over a performance period of up to one year (the Company’s fiscal year, unless otherwise specified by the Committee).

  • Basic Compensation means Salary and Benefits.

  • Target Bonus Percentage means, with respect to any Executive, the target bonus percentage specified for such Executive in his or her Employment Agreement.

  • Availability Incentive Payments has the meaning set forth in the CAISO Tariff.
