Base Financial Statements definition

Base Financial Statements means the most recent, audited, consolidated balance sheet of the Borrower and the Consolidated Subsidiaries referred to in Schedule 5.02(a) and the related statements of income, retained earnings and cash flows for the fiscal year ended with the date of such balance sheet.
