BCP Contribution definition

BCP Contribution means the sum of $52,000,000 (which includes the investment in Common Stock by PSIM) and the aggregate amount of any Additional BCP Contributions.
BCP Contribution has the meaning set forth in the recitals to this Agreement.

  • If LGII elects to make such 100% contribution, it shall give BCP written notice (the "LGII Additional Equity Notice") to such effect and BCP shall have the right, exercisable by written notice to LGII within five Business Days from receipt of the LGII Additional Equity Notice, to replace (prior to LGII's making such contribution) a portion of LGII's contribution with a contribution by BCP up to an amount equal to the ratio (before such contributions) of the BCP Contribution to the LGII Contribution.
