Binding Purchase Order definition

Binding Purchase Order means any Purchase Order that is accepted by Emergent pursuant to Section 3.1.2.
Binding Purchase Order has the meaning set forth in Clause 8.2.1;
Binding Purchase Order means a Purchase Order of Customer accepted by Seller with an Acceptance Letter. Binding Purchase Orders are governed by GTCS, despite any provision to the contrary of the Purchase Order. Binding Purchase Order creates Customer’s obligation to buy and Seller’s obligation to sell the Products and Services listed or referred to in the Purchase Order as accepted by the Acceptance Letter. The Commercial Offer and the GTCS shall form part of the Binding Purchase Order, together with the Purchase Order and the Acceptance Letter.

Examples of Binding Purchase Order in a sentence

  • Emergent will use commercially reasonable efforts to issue to Aptevo the Emergent Release Documents with respect to all Product ordered under a Binding Purchase Order on the Firm Delivery Date included in such Binding Purchase Order.

  • Without limiting the foregoing, if Emergent provides fewer Vials of Conforming Product than the number of Vials ordered in a particular Binding Purchase Order (a “Purchase Order Shortfall”), then Aptevo may require Emergent to make up such Purchase Order Shortfall in a subsequent Batch.

  • For the avoidance of doubt, delivery and acceptance of Products ordered under a Binding Purchase Order shall be governed by the applicable provision set forth in Article 6, below, rather than this Section 3.3.2.
