If Executive’s employment as a Managerial Employee is terminated and Executive has at least ten (10) years of continuous service to Company on or before the Employment Termination Date, either as a Managerial Employee, an Employee, a member of the Board of Director or a Consultant for the Company, Executive may exercise all options that have been granted and vested before the Employment Termination Date until the expiration date of said vested stock options.
The execution and delivery by SWC of this Agreement and the consummation by SWC of the transactions hereunder have been duly authorized and approved by the Board of Director and shareholders of SWC and no other corporate proceedings on the part of SWC are necessary to authorize this Agreement and the transactions hereunder.
