Book-Entry Security definition

Book-Entry Security means any Security bearing the legend specified in Section 2.2 evidencing all or part of a series of Securities, authenticated and delivered to the Depository for such series or its nominee, and registered in the name of such Depository or nominee.
Book-Entry Security means a Security represented by a Global Security and registered in the name of the nominee of the Depository.
Book-Entry Security means a Security bearing the legend specified in Section 2.04, evidencing all or part of a series of Securities, issued to the Depository for such series or its nominee, and registered in the name of such Depository or such nominee. Book-Entry Securities shall not be deemed to be Securities in global form for purposes of Sections 2.01 and 2.03 and Article 3 of the Indenture.

Examples of Book-Entry Security in a sentence

  • In addition, the Selling Agent will deliver to such purchaser or its agent the Prospectus as amended or supplemented (including the Pricing Supplement) in relation to such Book-Entry Security prior to or together with the earlier of the delivery to such purchaser or its agent of (a) the confirmation of sale or (b) the Book-Entry Security.

  • If a Book-Entry Security is so surrendered, such new Security so issued shall be a new Book-Entry Security.

Book-Entry Security has the meaning specified in Section 304.
