Borrowing Base Obligors definition

Borrowing Base Obligors means the Borrower and the Guarantors, and “Borrowing Base Obligor” shall mean any of them, as the context shall indicate.
Borrowing Base Obligors means AEE Solar and Sunrun Installation Services, and “Borrowing Base Obligor” shall mean any of them, as the context shall indicate.
Borrowing Base Obligors means Company and each Subsidiary of Company which becomes a Guarantor pursuant to and in accordance with the provisions of this Agreement.

  • Notwithstanding anything in any Loan Document to the contrary, the parties hereto acknowledge that all amounts with respect to fees and expenses owing to the Agent (in its capacities as agent or collateral agent hereunder and not in their capacity as a Lender hereunder) for its own account (as opposed to for the account or benefit of any other Secured Party) are owed exclusively by the U.S. Obligors and not the Canadian Borrowing Base Obligors.

  • The Obligors shall ensure that (a) all payments made by Canadian Borrowing Base Obligors into Deposit Accounts shall be made to such Deposit Accounts as are solely swept to Dominion Accounts that hold funds solely relating to assets of the Canadian Borrowing Base Obligors and (b) all payments made by U.S. Obligors into Deposit Accounts shall be made to such Deposit Accounts as are solely swept to Dominion Accounts that hold funds solely relating to assets of the U.S. Obligors.

  • Any such application of funds shall be made (i) from the Dominion Account of the U.S. Obligors first in respect of U.S. Obligations, to the outstanding amounts thereof, and second in respect of the Canadian Obligations and (ii) from the Dominion Account of the Canadian Borrowing Base Obligors solely in respect of Canadian Obligations.

  • There is no action, suit or proceeding at law or in equity or by or before any governmental instrumentality or other agency now pending, or, to the knowledge of the Borrower threatened against or affecting Borrower or any Borrowing Base Obligor, or any properties or rights of Borrower or any Borrowing Base Obligor, which, if adversely determined, would materially and adversely affect the financial condition of Borrower and the Borrowing Base Obligors (taken as a whole).

  • Borrower and the Borrowing Base Obligors are in compliance with all applicable provisions of the Employees Retirement Income Security Act of 1974 (“ERISA”) and all other laws, state or federal, applicable to any employees’ retirement plan maintained or established by them.
