Broad License definition

Broad License means the License Agreement, by and between the Company and The Broad Institute, Inc., dated as of September 26, 2019, as amended by a First Amendment dated on or around May 5, 2020 and as amended by a Second Amendment dated on or around February 18, 2021.
Broad License means that certain License Agreement by and between the Company and The Broad Institute, Inc. The foregoing restrictions will not prohibit Consultant from (w) meeting any of his obligations under any Applicable Policies, (x) conducting research at an Institution that is funded by a third party sponsored research arrangement or that utilizes funds or facilities administered by such Institution, where inventions conceived by Consultant in the course of such research will be owned by such Institution pursuant to the Applicable Policies, or that utilizes funds received under a grant from a governmental entity, a foundation or non-profit organization, (y) publishing the results of any such research, or (z) providing educational, clinical or other such services for an Institution. Without limiting the foregoing, the Services shall not encompass work at the Institutions, because of prior obligations to such institutions and funding organizations, including the United States Government.
Broad License shall have the meaning set forth in Section 9.4(c)(i).

Examples of Broad License in a sentence

  • At any time after the discussion under Section 9.4(a), Sangamo shall have the right to attempt to obtain a Broad License to any Third Party IP Rights that are Third Party Other IP, provided that unless the Parties agree otherwise in writing, Sangamo shall use good faith efforts to ensure that such Broad License is non-exclusive.

  • If Biogen Idec chooses to obtain a Narrow License and a Broad License, it shall (1) use good faith efforts to reasonably allocate the payment obligations between such licenses to be commensurate with the scope and exclusivity of the rights granted under each such license and (2) be solely responsible for all payments under any such Narrow License (subject to offsets under Section 8.6(b)(ii)(A)) and Broad License.

  • If Sangamo chooses to obtain a Narrow License and a Broad License, it shall (1) use good faith efforts to reasonably allocate the payment obligations between such licenses to be commensurate with the scope and exclusivity of the rights granted under each such license, (2) be solely responsible for all payments under any such Broad License and (3) unless the Parties agree otherwise in writing, use good faith efforts to ensure that such Broad License is non-exclusive.

  • If Sangamo chooses to exercise such right, it shall negotiate with the applicable Third Party to either (A) obtain one Narrow License or (B) one Narrow License and one Broad License (to the extent that Sangamo has not already obtained a Broad License pursuant to the first sentence of this Section 9.4(c)(ii)).

Related to Broad License

  • System License means a right to use certain DS Offerings for a specific database instance or as may be otherwise indicated in the Product Portfolio. A minimum number of Named User’s (or Extended Enterprise Named User’s, as applicable) rights to use certain identified DS Offerings may be required in order to be granted a System License. If the name of the DS Offering includes a specific reference to “Departmental Site License”, such DS Offering shall be used only within a particular department of Customer at a particular office, building or physical location which shall be identified in the Transaction Document. Token Based. Use of a DS Offering granted in Token Based mode provides a right to use a determined number of tokens for the duration of the license. Tokens are reserved for one (1) use at a time and when released, are available for other uses. The quantity of tokens required for a given use of the DS Offering is determined in the Product Portfolio and/or in the Documentation, and may be changed in the event of modifications to such DS Offering. Pool of tokens of same type can be accessed and used simultaneously by one or several authorized Users and/or Extended Enterprise Users and/or Machines, as applicable within the limit of the number of available tokens.

  • Third Party License means licenses from third parties governing third party software embedded or used in the Trading Platform.

  • Patent License means any written agreement granting any right with respect to any invention on which a Patent is in existence or a Patent application is pending, in which agreement Borrower now holds or hereafter acquires any interest.

  • Software License means a license for the Software granted under this ▇▇▇▇ to the Licensee;

  • Intellectual Property License Agreement means the Intellectual Property License Agreement to be executed by the parties thereto on the Closing Date, in the form of Exhibit F.
