Building Contract Assignment definition

Building Contract Assignment means the valid and effective first legal assignment of the benefit of the Building Contract to be executed by the Borrower and Xxxxxxx in favour of the Trustee (together with the notice and acknowledgement thereof), such assignment, notice and acknowledgement being in the form and on the terms and conditions required by the Agent and agreed on the signing hereof and as specified in paragraph 29 of Schedule 4;
Building Contract Assignment means the valid and effective first legal assignment of the benefit of the Building Contract to be executed by the Borrower and Arrasas in favour of the Trustee (together with the notice and acknowledgement thereof), such assignment, notice and acknowledgement being in the form and on the terms and conditions required by the Agent and agreed on the signing hereof and as specified in paragraph 28 of Schedule 4;
Building Contract Assignment means either one of them.

  • Following any such prepayment, the Agent shall, on the request of and at the expense of the Borrowers, release the Building Contract Assignment, the Mortgage, the Deed of Covenants and the Assignment (or such of them as shall then be subsisting) relating to the relevant Vessel(s).

Building Contract Assignment means the deed of assignment of the Building Contract and the Refund Guarantee referred to in Clause 17.1(c) (Security Documents).
Building Contract Assignment means the assignment in respect of the Building Contract to be executed by the Shipowner Guarantor in favor of the Security Trustee pursuant to Section 4.1(c) substantially in the form set out in Exhibit F;

  • Building Contract means a contract entered into between the Grant Recipient and a Building Contractor relating to the construction, repair, refurbishment, conversion, development and/or Rehabilitation (as applicable) of a Firm Scheme; Building Contractor means any building contractor or developer appointed or to be appointed by the Grant Recipient in respect of a Firm Scheme; Business Day means any day other than a Saturday, Sunday or a statutory Bank Holiday in England;

  • Lease Assignment has the meaning set forth in Section 3.5(d).

  • Direct Assignment Facilities means facilities or portions of facilities that are constructed for the sole use/benefit of a particular Transmission Customer requesting service under the Tariff. Direct Assignment Facilities shall be specified in the Service Agreement that governs service to the Transmission Customer and shall be subject to Commission approval.

  • Building Contractor means the building contractor or developer appointed or to be appointed by the Grant Recipient in respect of a Firm Scheme; Business Day means any day other than a Saturday, Sunday or a statutory Bank Holiday in England;

  • Contract Amendment means a written document signed by the Procurement Officer that is issued for the purpose of making changes in the Contract.

  • Assignment of Contracts shall have the meaning provided in Section 5.07.

  • Interconnection Construction Service Agreement means the agreement entered into by an Interconnection Customer, Interconnected Transmission Owner and the Transmission Provider pursuant to Tariff, Part VI, Subpart B and in the form set forth in Tariff, Attachment P, relating to construction of Attachment Facilities, Network Upgrades, and/or Local Upgrades and coordination of the construction and interconnection of an associated Customer Facility. A separate Interconnection Construction Service Agreement will be executed with each Transmission Owner that is responsible for construction of any Attachment Facilities, Network Upgrades, or Local Upgrades associated with interconnection of a Customer Facility.

  • Mortgage Amendment means an amendment to an Existing Mortgage or an amendment and restatement of an Existing Mortgage, in each case in form and substance reasonably acceptable to the Collateral Agent.

  • Insurance Assignment each collateral assignment of insurance pursuant to which an Obligor assigns to Agent, for the benefit of Secured Parties, such Obligor’s rights under key-man life, business interruption or other insurance policies as Agent deems appropriate, as security for the Obligations.

  • Assignment/Amendment We reserve the right to change this Service Agreement (including the price or to charge an additional fee) and to delegate any of Our obligations at Our sole discretion provided We give You thirty (30) days’ prior written notice of the changes. The changes will become effective thirty (30) days after We send You the notice. If You do not like the changes, You may cancel this Service Agreement. You may not change this Service Agreement or delegate any of Your obligations. Should certain terms or conditions in this Service Agreement be held to be invalid or unenforceable, the remainder of the terms and conditions in this Service Agreement shall remain valid. Transfer: This Service Agreement is not transferable by You. Responsibility for benefits owed to You: This is not an insurance policy; it is a Service Agreement. HomeServe will serve as Your point-of-contact for all questions or concerns. Our obligations under this Service Agreement are insured under a service contract reimbursement insurance policy. If We fail to pay or to deliver service on a claim within sixty (60) days after proof of loss has been filed, or in the event You cancel this Service Agreement and We fail to issue any applicable refund within sixty (60) days after cancellation, You are entitled to make a claim against the insurer, Virginia Surety Company, Inc., 000 Xxxx Xxxxxxx Xxxx., 11th Floor, Chicago, IL 60604, 0-000-000-0000. Our Liability: To the fullest extent permitted by applicable law, (1) You agree that We and HomeServe, and both of our respective parents, successors, affiliates, approved technicians and our and their officers, directors, employees, affiliates, agents, contractors or similar parties acting on behalf of either Us or HomeServe shall not be liable to You or anyone else for: (a) any actual losses or direct damages that exceed the lowest applicable per repair benefit limit set out above relating to any repairs performed by Us, HomeServe or on behalf of either Us or HomeServe or services provided hereunder giving rise to such loss or damage; or (b) any amount of any form of indirect, special, punitive, incidental or consequential losses or damages, damages based on anticipated or lost profits, wages, or revenue, or damages based on diminution in value or a multiple of earnings, including those caused by any fault, failure, delay or defect in providing any repairs performed by Us, HomeServe or on behalf of either Us, or HomeServe or services provided under this Service Agreement, regardless of whether such damages were foreseeable and whether or not We or HomeServe or anyone acting on behalf of either Us or HomeServe have been advised of the possibility of such damages (the damages listed in clauses (a) and (b), collectively the “Excluded Damages”); and (2) these limitations and waivers shall apply to all claims and all liabilities and shall survive the cancellation or expiration of this Service Agreement. You may have other rights that vary from state to state.

  • Collateral Assignment means, with respect to any Contracts, the original instrument of collateral assignment of such Contracts by the Company, as Seller, to the Collateral Agent, substantially in the form included in Exhibit A hereto.

  • Construction Service Agreement means either an Interconnection Construction Service Agreement or an Upgrade Construction Service Agreement.

  • Assignment of Leases With respect to any Mortgaged Property, any assignment of leases, rents and profits or similar agreement executed by the Mortgagor, assigning to the mortgagee all of the income, rents and profits derived from the ownership, operation, leasing or disposition of all or a portion of such Mortgaged Property, in the form which was duly executed, acknowledged and delivered, as amended, modified, renewed or extended through the date hereof and from time to time hereafter.
