Business Materials definition

Business Materials means and include all stationery, letterheads, envelopes, business cards, invoices, advertising and promotional materials, and all other business and commercial materials used by Licensee which bear the Trademarks.
Business Materials means signs, business cards, invoices, letterhead, agreements and other commercial documents; ​
Business Materials means solely the physical or tangible assets or media embodying any of the foregoing items and not any of the Intellectual Property covering or incorporated in same.

  • If, at any time following the Closing, any of Seller or its Affiliates shall discover in its possession or under its control any other such Business Materials, Seller shall, and shall cause its Affiliates to, at Seller’s sole cost, deliver promptly such Business Materials to Purchaser (or any of its designees).

Business Materials shall have the meaning set forth in Section 5.16 (a).

(l) "Packaging Materials" shall mean and include all tags, labels, cartons, bags, containers, wrapping and other materials used in the "Entertainment Business," whether currently in existence or created, developed or obtained during the "Term" of this Agreement. (m) "Patents" shall mean all U.S. and other patents issued in the "Territory" and any continuations, continuations-in- part, divisionals, reissues, or reexamined patents therefrom, covering in whole or in part or relating to any aspect of the "Entertainment Business," whether currently in existence or created, developed or obtained during the "Term" of this Agreement. (n) "Royalty Fee" shall mean the amount payable by Licensee under this Agreement as compensation for the license of the "Intellectual Property Rights". (o) "Royalty Rate" shall mean the rate or rates set forth in Exhibit E to this Agreement. (p) "Term" shall mean the time during which this Agreement is in effect as provided for in Section 15 herein. Business Materials means all documents and other materials, physical or electronic used in the business of the Group Companies and Businesses (including electronic mail), excluding any Contractual Materials, Advertising and Marketing Materials, Customer Collateral and Signs, but including business and identity cards, telephone directories, websites and website content and computer software;
Business Materials that are used in connection with the Devices & Services Business (but not primarily or exclusively used in connection with same, the delivery of which such items shall occur on the Closing Date).
