Licensed Materials definition

Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

Licensed Materials means the Application and the Documentation.

Licensed Materials means the Software, Documentation and any other items, materials or deliverables that Licensor provides, or is obligated to provide, under this Agreement.

• For the avoidance of doubt, neither recovery of direct costs by the Licensee from Authorised Users, nor use by the Licensee or by an Authorised User of the Licensed Materials in the course of research funded by a commercial organisation, is deemed to be Commercial Use.

• However, Publisher cannot guarantee the accuracy of any information and content contained in the Licensed Materials, and makes no representations or warranties of any kind (except as expressly provided in this Agreement), including but not limited to warranties of design, accuracy of the information contained in the Licensed Materials, merchantability or fitness of use for a particular purpose.
