Business Returns definition

Business Returns means all Tax returns required to be filed with respect to the DSD Business other than those consolidated, unitary or combined, Tax returns filed by Seller with respect to both the DSD Business and other businesses owned or operated by Seller and its Affiliates.

Examples of Business Returns in a sentence

  • The Tax Returns required to be prepared and filed by Newmark under this Section 4.03 shall include (a) any Newmark Federal Consolidated Income Tax Return for Tax Periods ending after the Deconsolidation Date and (b) Newmark Separate Returns that are Newmark Single Business Returns.

  • All amounts shown on the Pediatrics Business Returns to be due on or before the Closing Date have been or will be paid on or before the Closing Date.

  • Ascent and Medicis have delivered to (or made available for inspection by) BioMarin Acquisition accurate and complete copies of all material Pediatrics Business Returns that have been filed by or on behalf of Ascent since December 31, 2002.

  • No extension or waiver of the limitation period applicable to any of the Pediatrics Business Returns has been granted (by Medicis, Medicis Manufacturing or Ascent or any other Person), and no such extension or waiver has been requested from Medicis, Medicis Manufacturing or Ascent other than an extension resulting from the filing of a Tax Return after its due date in the Ordinary Course of Business.

  • Except as set forth on Schedule 4.9, Seller has filed all Business Returns required to be filed (or obtained an extension with respect thereto) with respect to the DSD Business, except for those failures to file or obtain an extension which would not, individually or in the aggregate, have a Material Adverse Effect.

  • The following types of tax Business Returns are specifically excluded.

  • Starwood shall prepare and file (or cause a Starwood Entity to prepare and file) any Single Business Returns for a Pre-Closing Period or a Straddle Period required to be filed by Starwood or a Starwood Entity and shall pay, or cause such Starwood Entity to pay, all Taxes shown to be due and payable on such Tax Returns; provided that Vistana shall reimburse Starwood for any such Taxes that are Vistana Taxes.

  • All Taxes relating to the Business or the Transferred Assets, whether or not shown as due and payable on any Business Returns, have been timely paid.

Related to Business Returns

  • Returns means the amounts yielded by an investment and in particular, though not exclusively, includes profit, interest, capital gains, dividends, royalties and fees;

  • Tax Returns means any and all reports, returns, declarations, claims for refund, elections, disclosures, estimates, information reports or returns or statements required to be supplied to a taxing authority in connection with Taxes, including any schedule or attachment thereto or amendment thereof.

  • Current Return means the minimum fair combined rate of return on common equity required for

  • Income Tax Returns means all Tax Returns relating to Income Taxes.
