Buyer Closing Expenses definition

Buyer Closing Expenses has the meaning set forth in Section 2.4(b).
Buyer Closing Expenses means the amount of fees and expenses of Buyer incurred in connection with the Transaction to be reimbursed by the Company and Seller pursuant to, and subject to the provisions of and the limitations set forth in, the Reimbursement Letter.

  • Notwithstanding the foregoing, nothing in this Section 2.6 shall (i) relieve the Seller of its obligations to pay any Seller Closing Expenses or (ii) relieve the Buyer of its obligations to pay any Buyer Closing Expenses or any amounts due to the Seller in respect of expenses incurred through the date of termination of this Agreement under Section 5.2(c)(i) or 5.2(c)(ii).
