Buyer Reports definition

Buyer Reports has the meaning set forth in Section 4.06(a).

Buyer Reports means (a) the Buyer’s Annual Report on Form 10-K for the fiscal year ended December 31, 2004, as filed with the SEC, and (b) all other reports filed by the Buyer under Section 13 or subsections (a) or (c) of Section 14 of the Exchange Act with the SEC since January 1, 2005.

Buyer Reports shall have the meaning ascribed thereto in Section 3.11 hereof.

Examples of Buyer Reports in a sentence

• As of their respective dates (and, in the case of registration statements, on the dates of effectiveness), the Buyer Reports did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading.

• As of the date of this Agreement, there are no outstanding comments from, or unresolved issues raised by, the SEC with respect to any of the Buyer Reports.

• The Buyer Reports constitute all of the documents required to be filed with or furnished to the SEC by the Buyer, under the Securities Act, the Exchange Act and the rules and regulations thereunder, from March 31, 2024 through the date of this Agreement.

Buyer Reports shall have the meaning assigned to such term in ------------- Section 4.04.

Buyer Reports means the registration statements, prospectuses, reports, schedules, forms and other filings (including any exhibits and documents incorporated by reference and any amendments thereto) filed or furnished by Buyer with the SEC and publicly available at least one Business Day prior to the Execution Date (excluding, in each case, any disclosures set forth in any risk factor or forward-looking statements section or any similar section to the extent that they are cautionary, predictive or forward-looking in nature).
