Subject to the satisfaction (or waiver) of the conditions set forth in Sections 6 and 7 below, the Company shall issue and sell to each Buyer, and each Buyer shall purchase from the Company on the applicable Closing Date (as defined below), Convertible Notes in an aggregate original principal amount as set forth on each Buyer’s respective Buyer Schedule, along with Warrants to initially acquire up to the aggregate number of Warrant Shares as set forth on each Buyer’s respective Buyer Schedule.
Sellers may update, and deliver to Buyer, Schedule 9.02(a) and Schedule 9.02(b) within fourteen days following the date of this Agreement.

At least five business days prior to the Closing Date, the Parent shall deliver to the Buyer Schedule 2.10 which shall set forth for each receivable of the Fastener Business as of the close of business on the immediately preceding Friday, the name of the payor, the date the receivable was booked by the Fastener Business, the original amount of the receivable, the date the receivable was or is due and the amount of the receivable on such Friday.

As to each Employee Benefit Plan in respect of which a copy has not been provided to the Buyer, Schedule 4(q) of the Disclosure Schedule contains a description of the material terms of that Employee Benefit Plan, including its eligibility requirements, benefit accrual, vesting, distributions, funding arrangements and financial condition.
Except as otherwise specified herein, the reports provided with the Buyer Schedule are prepared as of the date indicated thereon.
On or before the fifth (5) business day preceding the Closing Date, the Seller shall deliver to Buyer Schedule 1 through and including Schedule 10 to this Agreement on a compact disk (the “Seller Schedules”).
In the event any Service is terminated by Buyer, Schedule A shall be amended to reflect termination of such Services.
