Canadian Sales Taxes definition

Canadian Sales Taxes means, collectively, GST, PST and QST and any other value added sales, provincial sales, use, transfer and other similar taxes now or hereafter imposed by any Governmental Authority in Canada and all interest, penalties, addition to tax and any similar liabilities with respect thereto.

Examples of Canadian Sales Taxes in a sentence

  • Supplier shall indemnify and hold harmless the College against any claims or assertions, including interest and penalty, by any relevant taxing authority in respect of Canadian Sales Taxes owed in connection with the Goods and/or Services rendered by Supplier pursuant to this Agreement, except with respect to any Canadian Sales Taxes properly invoiced to the College as and when due.

  • If Buyer refuses to enter into such indemnity agreements or sign any documentation required by Seller, Buyer shall pay Canadian Sales Taxes.

  • In the event that Supplier is not registered to collect and remit applicable Canadian Sales Taxes, the College shall be entitled (but not required) to withhold from the Fees all amounts in respect of applicable Canadian Sales Taxes and remit such withheld Canadian Sales Taxes to the proper taxing authorities.

  • The College will pay the amount of such Canadian Sales Taxes to Supplier in addition to amounts payable under this Agreement on the date that it is required to make the payment to which such Canadian Sales Taxes apply.

  • The Purchase Price shall be exclusive of sales or transfer taxes, including any and all Canadian Sales Taxes, which are or may become exigible in connection with the assignment, transfer and conveyance of the related Receivables by an Originator under this Agreement.

  • Each Originator shall pay and remit when due any applicable sales or transfer taxes, including any and all Canadian Sales Taxes, payable or remittable in connection with the transfer of the Receivables generated by such Originator under this Agreement and including Canadian Sales Taxes collectable on such Originator’s supplies of property and/or services that give rise to the Receivables or are deemed to have been collected by such Originator upon the sale of a Receivable.

  • II.3 In the event Buyer is an unregistered nonresident of Canada, but desires Seller to accept Drop-Shipment Certificates issued by a Buyer Party Canadian resident consignee, so that Seller does not charge Buyer Canadian Sales Taxes, Buyer shall at Seller’s request and option enter into or sign Seller’s indemnity agreement or such other documents as required by Seller prior to shipment of the Product(s).

  • If any part of your Order is subject to Canadian Sales Taxes and we do not invoice you for such taxes, you shall report and pay any such applicable Canadian Sales Taxes to the proper governmental authority and shall provide reasonable proof of same upon our request.

  • The Canadian Buyer shall covenant that it is registered under Part IX of the ETA and 48 <PAGE> Chapter VIII of Title I of the QSTA, and the Canadian Trustee and the Canadian Buyer shall jointly execute and file elections under sub-section 167(1) of the ETA and sub-section 75(1) of the QSTA, in the form and manner required so that Canadian Sales Taxes will not apply in respect of the transfer of the Canadian Purchased Assets.

  • We will provide you with tax reports for each calendar month that detail the transaction information necessary for you to remit Canadian Sales Taxes to the relevant tax authorities as soon as reasonably practicable.

  • Sales Taxes has the meaning set forth in Section 3.2.

  • Canadian Taxes has the meaning specified in Section 11.05.

  • Sales Tax Revenues means taxes collected under the Virginia Retail Sales and Use Tax Act

  • Transaction Payroll Taxes means all employer portion payroll or employment Taxes incurred in connection with any bonuses, option cash-outs or other compensatory payments in connection with the Transactions.

  • U.S. Taxes means any present or future tax, assessment or other charge or levy imposed by or on behalf of the United States of America or any taxing authority thereof or therein.

  • Canadian Tax Act means the Income Tax Act (Canada), as amended.

  • Foreign taxes means value-added taxes and custom duties assessed by a foreign government on a commodity. It does not include foreign sales taxes.

  • Gross receipts tax means any gross receipts, sales, use, excise, value added or any similar tax.

  • Consolidated Cash Taxes means, for any period, for the Borrower and its Subsidiaries on a consolidated basis, the aggregate of all taxes, as determined in accordance with GAAP, to the extent the same are paid in cash during such period.

  • Income Taxes means any Tax which is based upon, measured by, or calculated with respect to (i) net income or profits (including, but not limited to, any capital gains, gross receipts, value added or minimum Tax) or (ii) multiple bases (including, but not limited to, corporate franchise, doing business or occupation Taxes) if one or more of the bases upon which such Tax may be based, by which it may be measured, or with respect to which it may be calculated is described in clause (i) of this sentence.

  • Asset Taxes means all ad valorem, property, excise, severance, production or similar Taxes (including any interest, fine, penalty or addition to Tax imposed by a taxing authority in connection with such Taxes) based upon operation or ownership of the Assets or the production of Hydrocarbons therefrom but excluding, for the avoidance of doubt, (a) income, capital gains, franchise and similar Taxes and (b) Transfer Taxes.

  • Seller’s Taxes shall have the meaning set forth in Section 5.4(a) hereof.

  • Connection Income Taxes means Other Connection Taxes that are imposed on or measured by net income (however denominated) or that are franchise Taxes or branch profits Taxes.

  • Payroll Taxes means State Unemployment Insurance (SUI), Federal Unemployment Insurance (FUI), and payments pursuant to the Federal Insurance Contributions Act (FICA).

  • Local taxes means all taxes levied other than taxes levied for school operating purposes.

  • Cash Taxes in respect of any fiscal period means amounts actually paid by the Companies in such fiscal period in respect of income and capital Taxes (whether relating to such fiscal period or any other fiscal period).

  • Base Taxes means the Taxes payable for the Base Tax Year.

  • Sales Tax means all applicable provincial and federal sales, use, value-added or goods and services taxes, including GST/HST;

  • Conveyance Taxes means all sales, use, value added, transfer, stamp, stock transfer, real property transfer or gains and similar Taxes.

  • Consolidated Income Taxes means, with respect to any Person for any period, taxes imposed upon such Person or other payments required to be made by such Person by any governmental authority which taxes or other payments are calculated by reference to the income or profits of such Person or such Person and its Restricted Subsidiaries (to the extent such income or profits were included in computing Consolidated Net Income for such period), regardless of whether such taxes or payments are required to be remitted to any governmental authority.

  • Non-Income Taxes means any Taxes other than Income Taxes.

  • Tax Revenues means the Personal Income Taxes and such other revenues, including Alternative Revenues (but excluding Building Aid), as the Authority may derive directly from the State from taxes imposed by the City or the State and collected by the State.

  • Tax increment revenues means the amount of ad valorem property taxes and specific local taxes attributable to the application of the levy of all taxing jurisdictions upon the captured assessed value of real and personal property in the zone. Tax increment revenues do not include any of the following:

  • Adjusted gross receipts means the gross receipts less winnings paid to wagerers.

  • Production Payments and Reserve Sales means the grant or transfer by the Company or any of its Restricted Subsidiaries to any Person of a royalty, overriding royalty, net profits interest, Production Payment, partnership or other interest in Oil and Gas Properties, reserves or the right to receive all or a portion of the production or the proceeds from the sale of production attributable to such properties where the holder of such interest has recourse solely to such production or proceeds of production, subject to the obligation of the grantor or transferor to operate and maintain, or cause the subject interests to be operated and maintained, in a reasonably prudent manner or other customary standard or subject to the obligation of the grantor or transferor to indemnify for environmental, title or other matters customary in the Oil and Gas Business, including any such grants or transfers pursuant to incentive compensation programs on terms that are reasonably customary in the Oil and Gas Business for geologists, geophysicists or other providers of technical services to the Company or any of its Restricted Subsidiaries.

  • Volumetric Production Payments means production payment obligations recorded as deferred revenue in accordance with GAAP, together with all undertakings and obligations in connection therewith.
