Supplier shall indemnify and hold harmless the College against any claims or assertions, including interest and penalty, by any relevant taxing authority in respect of Canadian Sales Taxes owed in connection with the Goods and/or Services rendered by Supplier pursuant to this Agreement, except with respect to any Canadian Sales Taxes properly invoiced to the College as and when due.
If Buyer refuses to enter into such indemnity agreements or sign any documentation required by Seller, Buyer shall pay Canadian Sales Taxes.
In the event that Supplier is not registered to collect and remit applicable Canadian Sales Taxes, the College shall be entitled (but not required) to withhold from the Fees all amounts in respect of applicable Canadian Sales Taxes and remit such withheld Canadian Sales Taxes to the proper taxing authorities.
The College will pay the amount of such Canadian Sales Taxes to Supplier in addition to amounts payable under this Agreement on the date that it is required to make the payment to which such Canadian Sales Taxes apply.
The Purchase Price shall be exclusive of sales or transfer taxes, including any and all Canadian Sales Taxes, which are or may become exigible in connection with the assignment, transfer and conveyance of the related Receivables by an Originator under this Agreement.
Each Originator shall pay and remit when due any applicable sales or transfer taxes, including any and all Canadian Sales Taxes, payable or remittable in connection with the transfer of the Receivables generated by such Originator under this Agreement and including Canadian Sales Taxes collectable on such Originator’s supplies of property and/or services that give rise to the Receivables or are deemed to have been collected by such Originator upon the sale of a Receivable.
II.3 In the event Buyer is an unregistered nonresident of Canada, but desires Seller to accept Drop-Shipment Certificates issued by a Buyer Party Canadian resident consignee, so that Seller does not charge Buyer Canadian Sales Taxes, Buyer shall at Seller’s request and option enter into or sign Seller’s indemnity agreement or such other documents as required by Seller prior to shipment of the Product(s).
If any part of your Order is subject to Canadian Sales Taxes and we do not invoice you for such taxes, you shall report and pay any such applicable Canadian Sales Taxes to the proper governmental authority and shall provide reasonable proof of same upon our request.
The Canadian Buyer shall covenant that it is registered under Part IX of the ETA and 48 <PAGE> Chapter VIII of Title I of the QSTA, and the Canadian Trustee and the Canadian Buyer shall jointly execute and file elections under sub-section 167(1) of the ETA and sub-section 75(1) of the QSTA, in the form and manner required so that Canadian Sales Taxes will not apply in respect of the transfer of the Canadian Purchased Assets.
We will provide you with tax reports for each calendar month that detail the transaction information necessary for you to remit Canadian Sales Taxes to the relevant tax authorities as soon as reasonably practicable.
