Canadian Subfacility definition

Canadian Subfacility shall have the meaning set forth in the recitals hereto.

Canadian Subfacility means the Credit Extensions under Article 3.

Canadian Subfacility means, at any time, an amount equal to the aggregate amount of the Canadian Lenders’ Canadian Revolving Credit Commitments at such time.

• Within the limits of the Facility Commitment and the Canadian Subfacility Amount, and in accordance with the procedures set forth in this Agreement and the Servicing Agreement, the Sponsor may authorize the Servicer to establish a Canadian Line of Credit Commitment in favor of a Canadian Franchisee who meets the credit criteria established by the Sponsor.

• All LC Participation Fees and Fronting Fees shall be computed on the basis of a year of 360 days (or 365 days, in the case of such fees payable in respect of Letters of Credit denominated in Canadian Dollars outstanding under the Canadian Subfacility) and shall be payable for the actual number of days elapsed.

• Committee membership is consistent with that described in the Manual and must be maintained at required levels.

• The Existing Letters of Credit listed on Part A of Schedule 1.01B shall be deemed issued under the Canadian Subfacility.

• Unless otherwise specified, all references herein to times of day made with respect to the Canadian Subfacility shall be references to Eastern time (daylight or standard, as applicable), and all other references herein to times of day shall be references to Central time (daylight or standard, as applicable).

Canadian Subfacility. Up to an agreed amount of the Revolving Credit Facility may be made available as a revolving Canadian sub-facility (the "Canadian Subfacility"), with loans thereunder made directly to one or more Canadian subsidiaries of the Borrower. The Canadian Subfacility will be subject to a separate borrowing base (but shall include credit for excess availability on the domestic borrowing base) and will otherwise be on terms and conditions (including pricing terms) to be set forth in the Bank Documentation.
