Cashless Settlement Mechanism. Notwithstanding anything to the contrary in this Agreement, any Lender may exchange, continue or rollover all or the portion of its Loans in connection with any refinancing, extension, loan modification or similar transaction permitted by the terms of this Agreement, pursuant to a cashless settlement mechanism approved by the Borrower, the Administrative Agent and such Lender.

(g) With respect to SOFR or Term SOFR, the Administrative Agent will have the right to make Conforming Changes from time to time and, notwithstanding anything to the contrary herein or in any other Loan Document, any amendments implementing such Conforming Changes will become effective without any further action or consent of any other party to this Agreement or any other Loan Document; provided that, with respect to any such amendment effected, the Administrative Agent shall post each such amendment implementing such Conforming Changes to the Borrower and the Lenders reasonably promptly after such amendment becomes effective. 2.03
Cashless Settlement Mechanism. Any Lender may exchange, continue or rollover all or any portion of its Loans in connection with this Amendment, pursuant to a cashless settlement mechanism approved by Borrower, Administrative Agent and such Lenders. On the Effective Date and after giving effect to any reallocations, adjustments, assignments and decreases, the Commitment of each Lender shall be as set forth on Schedule 1.01(b) hereto.
