Ceiling Amount definition

Ceiling Amount has the meaning assigned to such term in Section 9.10(a).

More Definitions of Ceiling Amount

Ceiling Amount means (i) on or before the first anniversary of the IPO Closing Date, $9.9 million, and (ii) thereafter, $4.95 million less the amount of all Damages paid or which have become payable by the party or parties in question with respect to indemnification claims made on or before the first anniversary of the IPO Closing Date.
