Change in Control Conditions means that all of the following have occurred:

Examples of Change in Control Conditions in a sentence

  • In the event Change in Control Conditions (as defined in the Employment Agreement) have occurred, then notwithstanding any other provision contained in this Agreement or the Plan, the vesting of the Option shall be accelerated to the extent determined by the applicable provisions of the Employment Agreement, subject to the Optionee’s compliance with the conditions required by the Employment Agreement including, but not limited to the execution of a release of claims specified in the Employment Agreement.

  • Section 409A Change in Control means a change in the ownership or effective control of the Company, or in the ownership of a substantial portion of the Company’s assets, as provided in Section 409A(a)(2)(A)(v) of the Code and Treasury Regulations Section 1.409A-3(i)(5) (without regard to any alternative definition thereunder).

  • Qualifying Termination means a termination of Executive’s employment (i) by the Company other than for Cause or (ii) by Executive for Good Reason. Termination of Executive’s employment on account of death, Disability or Retirement shall not be treated as a Qualifying Termination.
