Each Obligor hereby confirms and agrees that it, in the event that the Borrower fails to pay any Change of Control Prepayment Fee within 30 days of such fee being due and payable, shall pay all or any portion of any such Change of Control Prepayment Fee remaining outstanding to the Lender.
Rejection — A holder of Notes may accept the offer to prepay made pursuant to this Section 8.3 by causing a notice of such acceptance to be delivered to the Company on or before the date specified in the Change of Control Prepayment Certificate.
Each prepayment of the Loan shall be in a minimum amount of $250,000 or a higher integral multiple of $50,000, except as necessary to apply fully the required amount of any Net Proceeds Prepayment, Change of Control Prepayment or Change in U.S. Tax Treaty Prepayment.
Payments under this Note shall be applied (i) first, to the payment of accrued and unpaid interest hereunder until all such interest is paid, (ii) second, to the payment of the Applicable Premium (if any), the Prepayment Premium (if any) or the Change of Control Prepayment Price above the principal amount being repaid (if any) and (iii) third, to the repayment of the unpaid principal amount of this Note in the direct order of maturity.
Any such Change of Control Prepayment shall be made on a Business Day (the “Change of Control Payment Date”) no later than (x) if Borrower is required under the Indenture to redeem Notes upon the occurrence of such Change of Control, the first day on which Borrower is so required to redeem Notes, or (y) otherwise, 63 days following the occurrence of the Change of Control.
