Any Wastewater System Modification proposed to be made at the election of the Company under this Section 6.3, whether for experimental purposes or otherwise, shall be subject to the Borough’s prior written approval, which may be withheld in the Borough’s sole discretion; provided, that if the proposed modification must be made in order for the Company to comply with the Performance Guarantees, such approval may not be unreasonably held (including due to Change-in Law).
If there is a Change in Law which results in an increased cost to the Company or the Company is prevented, prohibited or frustrated from carrying out its intent under this Agreement, Company may terminate this Agreement with notice to you, or adjust your rate based upon such Changein Law.
If a Changein Law shall occur and the Parties are unable to mutually agree upon amendments to this Agreement in accordance with Section 11.2(a), then either Party may, upon at least thirty (30) Days prior Notice to the other Party, terminate this Agreement.
