Chemesis Common Shares definition

Chemesis Common Shares means the common shares of Chemesis;
Chemesis Common Shares means the issued and outstanding common shares in the capital of Chemesis.

  • In calculating such fractional interests, all Chemesis Common Shares registered in the name of or beneficially held by such Chemesis Shareholder or their nominee shall be aggregated.

  • In no circumstances shall Chemesis or any other Person be required to recognize a Person exercising Dissent Rights unless such Person is a registered holder of those Chemesis Common Shares in respect of which such rights are sought to be exercised.

  • From and after the Effective Date, neither Chemesis nor any other Person shall be required to recognize a Dissenting Shareholder as a shareholder of Chemesis and the names of the Dissenting Shareholders shall be deleted from the register of holders of Chemesis Common Shares previously maintained or caused to be maintained by Chemesis.

  • Any amendment, modification or supplement to this Plan of Arrangement may be made following the Effective Date unilaterally by Chemesis, provided that it concerns a matter which, in the reasonable opinion of Chemesis, is of an administrative nature required to better give effect to the implementation of this Plan of Arrangement and is not adverse to the financial or economic interest of any holder of Chemesis Common Shares or Spinco Common Shares.

  • Any amendment, modification or supplement to this Plan of Arrangement may be made following the Effective Date unilaterally by Chemesis, provided that it concerns a matter which, in the reasonable opinion of Chemesis, is of an administrative nature required to better give effect to the implementation of this Plan of Arrangement and is not adverse to the financial or economic interest of any holder of Chemesis Common Shares or IMC Common Shares.

Related to Chemesis Common Shares

  • Common Shares means the common shares in the capital of the Corporation;

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • Holdings Common Stock means the common stock of Holdings, par value $.01 per share.

  • Merger Sub Common Stock means the common stock, par value $0.01 per share, of Merger Sub.

  • Founders’ Common Stock means all of the shares of Common Stock of the Company acquired by an Insider prior to the IPO for a price of approximately $0.005875 per share;

  • Company Common Shares means the common shares in the capital of the Company;

  • New Common Shares means the common stock or common equity of Reorganized XOG to be issued on the Effective Date.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Parent Common Shares means the common shares of beneficial interest, $0.01 par value per share, of Parent.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Parent Stock means the common stock, par value $0.01 per share, of Parent.

  • Company Preferred Shares means, collectively, the Company Series A-1 Preferred Shares, the Company Series A-2 Preferred Shares, the Company Series B Preferred Shares, and the Company Undesignated Preferred Shares.

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • Company Shares means the common shares in the capital of the Company;

  • Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.

  • Pubco Common Stock means all classes and series of common stock of Pubco, including the Class A Common Stock and Class B Common Stock.

  • Company Share Plans means, collectively, (i) the 2018 Share Incentive Plan of the Company, which replaced the Company’s 2010 Share Incentive Plan in its entirety, and (ii) the Post-IPO Share Incentive Plan of the Company.

  • New Ordinary Shares means the new Ordinary Shares arising on Conversion of the C Shares;

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Qualifying Preferred Stock means non-cumulative perpetual preferred stock of the Corporation that (a) ranks pari passu with or junior to all other preferred stock of the Corporation, and (b) either (x) is subject to a Qualifying Replacement Capital Covenant or (y) is subject to Intent-Based Replacement Disclosure and has a provision that prohibits the Corporation from paying any dividends thereon upon its failure to satisfy one or more financial tests set forth therein, and (c) as to which the transaction documents provide for no remedies as a consequence of non-payment of dividends other than Permitted Remedies.

  • Fully-Diluted Common Stock means, at any time, the then outstanding Common Stock of the Company plus (without duplication) all shares of Common Stock issuable, whether at such time or upon the passage of time or the occurrence of future events, upon the exercise, conversion or exchange of all then outstanding Common Stock Equivalents.
