Class A-1 Quarterly Commitment Fees Shortfall Amount has the meaning set forth in Section 5.13(b)(iii) of the Base Indenture. “Clearing Agency” means an organization registered as a “clearing agency” pursuant to Section 17A of the 1934 Act or any successor provision thereto or Euroclear or Clearstream. “Clearing Agency Participant” means a broker, dealer, bank, other financial institution or other Person for whom from time to time a Clearing Agency effects book-entry transfers and pledges of securities deposited with the Clearing Agency. “Clearstream” means Clearstream Banking, societe anonyme and any successor entity. “Closing Date” means February 10, 2022. “Closing Date Contribution Agreements” means the following agreements: 1. Planet Fitness Holdings – Holding Company Guarantor Contribution Agreement, dated as of the Closing Date, between Planet Fitness Holdings and the Holding Company Guarantor; 4. Holding Company Guarantor – Master Issuer Contribution Agreement, dated as of the Closing Date, between the Holding Company Guarantor and the Master Issuer; and 5.
