Class B Shares definition

Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.

Class B Shares means, as applicable, the HBB Class B Shares, the HY Class B Shares and the NACCO Class B Shares.

Class B Shares means the Class B Membership Shares of the Company, the -------------- holders of which have the rights afforded them under the Operating Agreement.

The Parties acknowledge and agree that, following the purchase of the Repurchased Units by HESM OpCo, at the Closing, Xxxx Midstream shall cancel, for no consideration, an aggregate number of Class B Shares held by the General Partner, HINDL and/or GIP equal to the aggregate number of Repurchased Units repurchased by HESM OpCo hereunder in accordance with Section 5.5(e) of the HESM Company Agreement.
