Cleandown definition

Cleandown shall have the meaning ascribed to such term in Section 2.02(a)(v).

Examples of Cleandown in a sentence

  • Annual Cleandown of the Original Loan Agreement; and (iv) make such further amendments and modifications pursuant to and upon the terms and conditions as more particularly described and set forth in the Third Loan Modification.

  • During each Fiscal Year, the Borrower shall select a Cleandown Period.

  • During the Clean-down Period for each fiscal year of the Borrower, the aggregate unpaid principal amount of outstanding Revolving Loans and Supplemental Revolving Loans, plus outstanding Letters of Credit Usage (which are not cash collateralized in a manner satisfactory to the Administrative Agent) shall not exceed the Clean-down Amount.

  • For the duration of each such Cleandown Period, the Borrower shall not request, create or incur any Revolving Credit Loans, Swingline Loans or Revolver Letters of Credit to the extent that the aggregate principal amount of all outstanding Revolving Credit Loans, Swingline Loans and Revolver L/C Obligations (after giving effect to any amount requested, created or incurred) would exceed $15,000,000.

  • Cleandown of the Loan Agreement is hereby deleted in its entirety.

  • Annual Cleandown of the Loan Agreement; (vi) amend and modify Section 11.1 Delivery of Information (b) of the Loan Agreement as more particularly described in this Agreement; and (vii) make such further amendments and modifications pursuant to and upon the terms and conditions as more particularly described and set forth in this Agreement.

  • The Borrower shall pay to the Administrative Agent, for the ratable benefit of the Revolving Lenders as provided in clause (v) of Section 2.11(a), commitment fees (collectively, the “Commitment Fees”) equal to the Commitment Fee Percentage of the daily average Unused Commitment (regardless of whether such amount is fully available after giving effect to the Cleandown Amount, if applicable) for the period beginning on the date of this Agreement and ending on the Revolving Loan Maturity Date.

  • Clean (or ‘Cleaned’) means, as the case requires:

  • Cleaning means the act of removing septage or other wastes from a wastewater treatment system component or grease/waste from a grease interceptor.

  • Drainage area means a geographic area within which stormwater, sediments, or dissolved materials drain to a particular receiving waterbody or to a particular point along a receiving waterbody.
