Client Parties definition

Client Parties means the Client and/or their affiliates, subsidiaries, holding companies (and their subsidiaries), directors, employees, officers, contractors or other representatives, including the Agent;
Client Parties means any one or more of the following: the Client' each individual or entity which own some or all of the Client' employees of the Client' and any individual or entity who will be receiving the funds sent from the Client through GPS.
Client Parties means Client and Client-Company jointly and severally.

  • The indemnity provided to the Client pursuant to this Agreement shall not apply to the extent that any loss arises out of or is based upon any untrue statement or alleged untrue statement of material fact made by the Client or any Client Parties or any omission or alleged omission of a material fact required to be disclosed by the Client or any of its Client Parties.

  • The Client Parties shall have the right to employ counsel in any such case.

  • If any action is brought against any of the Client Parties in respect of which indemnity may be sought hereunder, the Client Party shall promptly notify the Co-Manager or Co-Managers, as applicable, in writing of the institution of such action, and the relevant Co-Manager or Co-Managers (i.e. the Co-Manager(s) whose actions or failure to act are alleged to have caused the loss) shall assume the defense of such action.

  • DRC shall have the right to rely on the accuracy of all data provided by the Client and the Client Parties to DRC.

  • Client further agrees to enforce this contractual requirement against all Client Parties.

  • Client understands and agrees that certain Products may require the disclosure to and use of certain data by Hexagon regarding Client Parties.

  • Company Parties and Client Parties that are third parties are third-party beneficiaries of the respective indemnification obligations in this Agreement.

  • ESI shall indemnify and hold Client and its successors, parents, subsidiaries, officers, directors, employees (the “Client Parties”) harmless against any and all liabilities, loss, costs or expenses of whatsoever kind and nature which may be imposed on, incurred by, or asserted against the Client Parties at any time to the extent such liability, loss or expense results from ESI’s gross negligence or willful misconduct under this Agreement.

  • I will not sue any of the Client Parties on the basis of these waived and released claims.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity. For the purpose of this Contract, vendors of support services, not otherwise known as human service providers or educators, shall not be considered subcontractors, e.g. lawn care, unless such activity is considered part of a training, vocational or educational program.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • FIS means free into store delivery, which requires the Supplier to pay all costs and be responsible for all requirements associated with the supply and delivery of Goods to the Company at the delivery site described in the Order, including all costs associated with transport, insurances, licences, authorisations, duties and taxes.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;
