The Parent Parties and their respective Representatives shall give the Company Parties the opportunity to reasonably participate in the defense.
In no event shall any of the Company Parties or any of their respective Affiliates seek to enforce this Agreement against, make any claims for breach of this Agreement against, or seek to recover damages from, any of the Affiliates or Representatives of the Parent Parties (other than Guarantor to the extent provided in the Guarantee, and in each case subject to the Parent Liability Cap and the other limitations described therein).
