Buyer shall provide Seller written notice of Buyer's intent to close on the individual Hotels no later than ten (10) days prior to each intended Closing date (each a "Closing Date Notice").
For the avoidance of doubt, the failure of the Closing to occur on the Scheduled Closing Date or New Scheduled Closing Date, as applicable, shall not terminate this Joinder or otherwise relieve any party of any of its obligations hereunder, including Additional Purchaser’s obligation to purchase the Shares following the Company’s delivery of a New Closing Date Notice.

Pacific and Southern agrees to take all steps necessary or desirable to accommodate Evergreen's use of a Qualified Intermediary or a Qualified Escrow Account, provided that there is no adverse effect upon Pacific and Southern and the use of a Qualified Intermediary under this Section 12.12(b) does not result in any delay or otherwise affect the ability of Pacific and Southern to give a Closing Date Notice on a date selected by it.
In no event shall the Closing Date Notice specify a Closing Date that would occur: (i) any earlier than the date that is the fifth (5th) business day after the date that Seller and Escrow Holder receive the Closing Date Notice, or (ii) any later than the date that is the forty-fifth (45th) calendar day following the Effective Date.
