Code Affiliate definition

Code Affiliate means each Person which together with the Company or any of its Subsidiaries is treated as a "single employer" under subsection (b), (c), (m) or (o) of section 414 of the Code.

Code Affiliate or "Code Affiliates" means, with respect to any person, or any trade or business (whether or not incorporated) which is a member of a controlled group or which is under common control with such person within the meaning of Section 414 of the Code.

Code Affiliate means each trade or business (whether or not incorporated) which together with any Borrower is treated as a "single employer" under subsection (b), (c), (m) or (o) of Section 414 of the Code.

Examples of Code Affiliate in a sentence

• Options may be granted to persons who are, at the time of grant, employees, officers, directors, consultants or other service providers of the Company or any parent or subsidiary of the Company as defined in Sections 424(e) and 424(f) of the Code ("Affiliate"), provided that Incentive Stock Options may only be granted to individuals who are employees (within the meaning of Section 3401(c) of the Code) of the Company or any Affiliate.

More Definitions of Code Affiliate

Code Affiliate or "CODE AFFILIATES" means, with respect to any person, or any trade or business (whether or not incorporated) which is a member of a controlled group or which is under common control with such person within the meaning of Section 414 of the Code.
