Combination Exercise definition

Combination Exercise. If you elect this alternative, you will be deemed to have simultaneously exercised the NSOs and to have sold a number of those common shares with a value equal to the NSOs’ aggregate exercise price and related taxes. When the transaction is complete, the balance of the common shares subject to the NSOs you exercised will be transferred to you.

Related to Combination Exercise

  • Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.

  • Combination means an event in which the Company consolidates with, merges with or into, or sells all or substantially all its property and assets to another Person.

  • Option Exercise Date has the meaning specified in Section 2.1.

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.

  • Lead equivalent means the thickness of lead affording the same attenuation, under specified conditions, as the material in question.

  • Cash Exercise with respect to Warrant Shares; and/or

  • Minimum Exercise Amount means the Minimum Exercise Amount as specified in § 1 of the Product and Underlying Data.

  • Make-Whole Exercise Solely for purposes of this Section 6.2, the “Redemption Fair Market Value” shall mean the volume weighted average price of the Ordinary Shares during the ten (10) trading days immediately following the date on which notice of redemption pursuant to this Section 6.2 is sent to the Registered Holders.
