Committee Observer definition

Committee Observer means the individual selected by the Creditors’ Committee who shall oversee and consult with the Plan Administrator and shall be paid from the Committee Observer Reserve.
Committee Observer has the meaning set forth in Section 2.1(a).
Committee Observer has the meaning set forth in Section 3.2(b)(ii).

  • Each Committee Observer shall be entitled to reimbursement for reasonable out-of-pocket expenses incurred in attending meetings of the committees of the Board to the same extent as members of such committees.

  • No Committee Observer will (y) be included for purposes of determining a quorum at a meeting of any Committee for the transaction of business or otherwise, or (z) vote on any matter presented to or voted upon by such Committee.

  • Each Committee Observer will have the right to attend all meetings (whether such meetings are formal or informal (it being understood that informal conversations among some but not all of the Committee members that include discussions about relevant Committee matters will not be considered “informal” meetings), are convened in person, telephonically or by any other telecommunication means) of the Committee for which he or she has observation rights.

  • The Investor will (and will cause each Investor Director and Committee Observer to) agree to treat all such information as “Confidential Information” in accordance with Section 3.10.

  • These relate, among other things, to the nature and extent of regulation and supervision of these institutions, the factors supporting issuance of a particular charter, the views of other agencies, financial inclusion and consumer protection, safety and soundness, and competitive equality.

Committee Observer means the committee observer as referred to in Section 13.2.2.

Related to Committee Observer

  • Board Observer has the meaning set forth in Section 2.1;

  • Observer means a person who is not enrolled in an Iowa medical school or osteopathic medical school, who observes care to patients in Iowa for a defined period of time and for a noncredit experience, and who is supervised and accompanied by an Iowa-licensed physician as defined in 9.2(3). An observer shall not provide or direct hands-on patient care, regardless of the observer’s level of training or supervision. The supervising physician may authorize an observer to read a chart, observe a patient interview or examination, or witness procedures, including surgery. An observer shall not chart; touch a patient as part of an examination; conduct an interview; order, prescribe or administer medications; make decisions that affect patient care; direct others in providing patient care; or conduct procedures, including surgery. Any of these activities requires licensure to practice in Iowa. An unlicensed physician observer or a medical student observer may touch a patient to verify a physical finding in the immediate presence of a physician but shall not conduct a more inclusive physical examination.

  • Observers has the meaning set forth in Section 6.1(c).

  • Audit Committee or Committee means Committee of Board of Directors of the Company constituted under provisions of Listing agreement and Companies Act, 2013.

  • JRC has the meaning set forth in Section 2.2.

  • Committee Meeting means a meeting of the Committee.

  • Advisory Committee means the Employer's Advisory Committee as from time to time constituted.

  • Research Committee shall have the meaning set forth in Section 2.1.

  • Committees means Committees of the Board for the time being in force.

  • OPSI Advisory Committee means the committee established under Tariff, Attachment M, section III.G.

  • Management Committee means in the case of a Competition which is an unincorporated association, the management committee elected to manage the running of the Competition and where the Competition is incorporated it means the Board of Directors appointed in accordance with the articles of association of that company.

  • Meetings means the meetings of Affected Unsecured Creditors in the Unsecured Creditor Classes in respect of each Participating CCAA Party called for the purposes of considering and voting in respect of the Plan, which has been set by the Amended and Restated Meetings Order to take place at the times, dates and locations as set out in the Amended and Restated Meetings Order;

  • Joint Research Committee or “JRC” has the meaning set forth in Section 3.1.1.

  • Operating Committee means the Operating Committee of Epoch which meets frequently and is responsible for implementing the Company’s strategy, making operational decisions and overseeing the day-to-day running of the Company.

  • Steering Committee shall have the meaning set forth in Section 3.1.

  • JSC has the meaning set forth in Section 3.1.

  • Development Committee has the meaning set forth in Article 3 of the Amended and Restated Research and Development Agreement.

  • Joint Committee means the Joint Committee established by Article 164(1) of the withdrawal agreement;

  • Committee means the Compensation Committee of the Board.

  • Board Committee means those individual members of the Board of Directors who have been appointed by the Board of Directors with the powers and responsibilities specified in Article VIII and to which has been delegated any fiduciary responsibilities of the Board of Directors with respect to the Plan.

  • Search Committee means the Search Committee set up by the Senate under section 15 (2);

  • Hearing Committee means the committee appointed pursuant to this Plan to hear a request for an evidentiary hearing that has been properly filed and pursued by a practitioner.

  • Independent Committee means a committee of the board of directors of the General Partner made up of directors that are “independent” of Brookfield and its Affiliates, as contemplated by applicable securities Laws;

  • Audit Committee means the audit committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Listing Committee the listing committee of the Stock Exchange;

  • JMC has the meaning set forth in Section 3.2(a).
