The rights, powers and discretions conferred upon the Security Agent by this Agreement shall be supplemental to the Trustee ▇▇▇ ▇▇▇▇ and the Trustee ▇▇▇ ▇▇▇▇ and in addition to any which may be vested in the Security Agent by general law or otherwise, but subject to the Communications Order, the Communications Law and the Pledge Permit.
In the case of a contradiction between the provisions of this Agreement and the provisions of the Communications Law, Communications Order, permits or licenses, the provisions of the Law shall prevail.
Free and clear of all pledges, encumbrances, attachments, liens, rights of first refusal, tag-along rights, debt, claim, lock-up arrangements (other than pursuant to the Communications Law, Communications Order, and the permits and licenses granted and/or to be granted pursuant thereto) or any third party right.
Each of the Parties agrees that the Security Agent shall have only those duties, obligations and responsibilities expressly specified in this Agreement or in the Security Documents to which the Security Agent is expressed to be a party (and no others shall be implied), in each case where applicable subject to the terms of the Communications Law, the Communications Order and the Pledge Permit.
Subject to the terms and conditions of the Pledge Permit, the Communications Law and the Communications Order, the rights and remedies provided in this Agreement are cumulative and not exclusive of any rights or remedies provided by law.
In accordance with the Security Documents, the enforcement of any of the Control Share Pledges and the transfer of the shares pledged thereunder will be effected subject to applicable Israeli law, including the Communications Law, the Communications Order, the Control Permits (as such term is defined in the Pledge Permit) and the Licenses.
