Company Affiliates means, jointly and severally, the Company and any entity, directly or indirectly, through one or more intermediaries, controlled by, in control of, or under common control with, the Company.

• The Company and the Executive acknowledge and agree that during the Executive’s employment with the Company, the Executive will have access to and may assist in developing Confidential Information and will occupy a position of trust and confidence with respect to the affairs and business of the Company and the Company Affiliates.

• At all times following the cessation of the Executive's employment with the Company, the Executive agrees not to make negative comments or statements about, or otherwise criticize or disparage, in any format or through any medium, the Company or any entity controlled by, controlling or under common control with the Company ("Affiliates") or any of the officers, directors, managers, employees, services, operations, investments or products of the Company or any of its Affiliates.

• The Employer and the Executive acknowledge and agree that during the Executive’s employment with the Employer, the Executive will have access to and may assist in developing Company Confidential Information and will occupy a position of trust and confidence with respect to the Employer’s affairs and business and the affairs and business of the Company Affiliates.

Company Affiliates has the meaning set forth in Section 6.06.

Company Affiliates has the meaning set forth in Section 7.07.

Company Affiliates shall have the meaning ascribed thereto in Section 4.2.

Company Affiliates means (i) all Persons controlling, controlled by or under common control with, the Company (including, without limitation, its parent, brother-sister companies, other affiliates, subsidiaries, and joint ventures), (ii) all Persons in which the Company owns an equity interest and (iii) all predecessors, successors and assigns of those affiliates identified in (i) and (ii). As used in this definition, “control” (including, with correlative meanings, “controlling”, “controlled by” and “under common control with”) shall mean possession, directly or indirectly, of the power to direct or cause the direction of the management and policies (whether through ownership of securities, partnership or other ownership interests, by contract or otherwise).

Company Affiliates means one or more entities, now existing or to be formed in the future, which control, are controlled by, or are under common control with, the Company.

Company Affiliates has the meaning set forth in Section 1.11.

Company Affiliates and “Company Affiliate” shall have the respective meanings ascribed thereto in Recital B.
